Robert M. Mintz is a highly experienced transactional lawyer who goes above and beyond for his clients. His background in accounting, tax and business gives clients a strategic advantage. He advises clients in a wide variety of matters, including the creation of new businesses, private equity and debt venture capital offers, and with business acquisitions, dispositions and liquidations. In his corporate transactional practice, Rob represents domestic and international banking and financial institutions, privately and publicly held businesses, international companies with business interests in the United States and venture capital funds. He also serves as outside general counsel to several healthcare, real estate, food, and transportation/logistics companies, bringing creativity and financial solutions to those businesses.


As a lawyer, advocate, and fellow business owner, Rob understands how to tackle challenges faced by clients. As a former Certified Public Accountant, he recognizes the important issues clients must address – regarding financial performance, company valuation, growth and expansion plans, sales and markets, their personal objectives, and more – to succeed and maximize the value of their brands, businesses and properties.


Rob guides companies to form new businesses, structure and raise private equity and debt, and acquire, sell, and enhance businesses and properties. To finance clients’ activities, he structures and effects commercial, real estate, and asset-based loan and equipment financing transactions using conventional, mezzanine, and other types of financing.


Rob also advises developers, lenders and investors to analyze and structure prospective real estate transactions including acquiring and financing real property. He interfaces with private investors, family offices and funds within all capital tiers. In addition to his representation of businesses and corporations, Robert works with a variety of financial institutions to effect loan workouts, restructurings and forbearances.


Clients he has represented in his corporate transactional practice include North Star Investments, Focus Capital Partners, Halcyon Capital, The Northern Trust Company and American Commercial Bank & Trust. Other client relationships in real estate, transportation and logistics, food and medical include Cunat, Inc., Best Dedicated Solutions, Best Courier & Delivery Service, Champro Sports and The Cambridge Group. 


Rob has handled a variety of notable transactions including:

  • Structured, negotiated and documented a $300 million multi-bank syndicated loan to an international clothing industry company.

  • Assisted a developer on the capital raise, acquisition and financing of numerous apartment complexes in the Northern Illinois/Southern Wisconsin, Nashville and Cedar Rapids areas, funded with taxable and tax-exempt revenue bonds and HUD financing.

  • Represented single family home developer with multiple capital raises, PPMs and loan financings.

  • Structured and documented over $2.5 billion of Reg. D. capital raises in a wide variety of industries, from real estate to securities, both domestically and around the world.

  • Structured, documented and closed over $4 billion of various loans including: conventional; taxable and tax-exempt bond transactions; syndicated; asset-based; real estate; mezzanine, aircraft; ships; offshore funds; and artwork related.

  • Represented sponsors, investors, buyers and sellers in the acquisition or sale of more than 100 privately held companies.

  • Amicably resolved multiple "business divorces" between co-owners, while avoiding costly litigation.

  • Represented borrower in a $350 million syndicated asset securitization.

  • Represented a family office’s investments in multiple operating companies.

  • Structured, documented and closed a $100 million real estate fund focused on the multi-family, senior living and hospitality markets.


Active in the community, Rob presently serves as an Executive Board Member (Austin), and is the former Chairman of the Board and President (Chicago), of the Jewish National Fund. He’s a former Chairman of the Board of the City of Highland Park Business and Economic Development Commission, a Host of the City of Highland Park's Business Summit and member of the City of Highland Park Beautification Task Force. He was a longtime Board member and officer of The Standard Club.

Robert is admitted in Illinois and Texas. He has been named in Illinois Super Lawyers in Banking and Finance from 2022-2019 and 2015-2013.  He is also an Illinois Leading Lawyer in Banking.


Robert earned his J.D. from Chicago-Kent College of Law, 1986 and attended Notre Dame Law School’s London Campus in the Summer of 1984. He holds a B.S. in Accounting from Indiana University, 1982.
